Elfa told the market on Monday that control passed from Pátria-managed funds to Gravataí Participações after a statutory liquidity event converted preferred shares. Buyer will ask CVM to waive a mandatory tag-along tender and says it will not cancel the public-company registration within one year.

Valor cites an acquisition price of R$ 620.49 million paid proportionally to selling Pátria funds (USD converted at window FX 5.16). Earnout if Gravataí sells Elfa within 36 months. Confirm unit against the CVM filing.

Yduqs (CVM material fact) and Afya (Nasdaq 6-K) confirmed preliminary talks on a possible combination after Valor reported Bertelsmann–Yduqs meetings in São Paulo. Both said discussions are early-stage with no assurance a deal will close. Yduqs shares jumped more than 8% in the Monday session on the news.
